Industry Material Transfer Agreements
Most Addgene orders must be accompanied by a material transfer agreement (MTA), including transfers to for-profit entities. The MTA is a legal agreement between the recipient and the depositing institution(s). It governs the transfer of biological materials and intellectual property rights, and provides liability protection for material providers. Addgene’s deposit agreements allow Addgene to distribute plasmids on behalf of the depositing institutions. These agreements indicate the language which we are allowed to use for distribution. Please see the Sample Agreements on our Technology Transfer Information page for more information. To learn more about Addgene’s MTA process please visit our Help Center.
The MTA Process:
- Once your order has been placed on our website, Addgene will email you a link to the Recipient Scientist Acknowledgement (RSA). This form can be completed electronically by the scientist who will be using the materials in the order.
- After the RSA is complete, Addgene will send you a copy of the MTA, which must be signed by an authorized signatory at the recipient institution. An authorized signatory is someone who can execute legal documents on behalf of the recipient institution.
- Once the MTA has been signed, it can be submitted to Addgene through your user account or by email to [email protected]. After we review and approve the MTA documents, your order will be processed and shipped.
